1. Overview

‍These Terms of Service (“Agreement”) govern your participation in the Steno.ai Affiliate Program (“Program”), operated by StenoAI, Inc., a Delaware corporation (“Steno.ai,” “we,” “us,” or “our”).

By enrolling in the Program, you agree to comply with and be bound by this Agreement, our Privacy Policy, and any other legal documents referenced herein.

‍2. Eligibility

‍You may participate in the Program only if you:.

Are at least 18 years old.

Reside in a jurisdiction where participation in affiliate programs is legal.

Provide accurate and complete contact, tax, and payment information.

We reserve the right to approve, reject, or remove any affiliate at our sole discretion for any lawful reason.

‍3. Our Right to Modify Policies

‍We may modify commission rates, payment schedules, tracking rules, or other Program terms at any time, at our sole discretion.

We will provide at least 30 days notice before any change that reduces your commission rate or materially impacts your rights. Changes will not apply retroactively to commissions already earned. Continued participation after the effective date of a change constitutes your acceptance of the updated terms.

‍4. Affiliate Links & Tracking

‍You’ll receive a unique affiliate link upon acceptance into the Program.

Referrals must complete signup through your link to be tracked.

Tracking is cookie-based and lasts 60 days from the click (unless the user clears cookies or uses blocking technology). In cases where a referral is made via direct warm introduction, Steno.ai may manually attribute the referral to the affiliate.

If multiple affiliates refer the same customer, the first affiliate tracked will receive the commission unless otherwise stated.

5. Commissions

Rate: You will earn a percentage of net subscription revenue from referred customers for their first 12 months. Percentages will be agreed upon, in writing, with a member of the Steno.ai team prior to the launch of the affiliate.

Net Revenue: Total payment received by Steno.ai, less discounts, refunds, chargebacks, setup fees, and taxes.

Commissions are earned only on payments actually received by Steno.ai. Commissions stop accruing if a customer cancels, pauses, or downgrades their subscription.

6. Payment Schedule & Minimum Thresholds

Frequency: Monthly, within 20 days after the close of each month.

Method: Stripe

Minimum Threshold: $50. Balances under the threshold roll over to the next payout period.

Holding Period: Commissions are held for 30 days after the referred customer’s payment to account for refunds or chargebacks. Steno.ai reserves the right to withhold commissions payouts in cases of suspected fraud until resolved.

7. Brand, Logo, and Content Use

‍You may only use Steno.ai brand assets (logos, marks, slogans, images) provided by us or approved in writing.

You may not alter or modify brand assets in any way.

You may not register domain names, create social media profiles, or purchase ads containing “Steno.ai” or confusingly similar terms.

All marketing must truthfully represent Steno.ai and comply with applicable laws, including FTC endorsement disclosure guidelines. (You must clearly state you may receive a commission).

8. Prohibited Conduct

‍You will be removed from the Program and forfeit unpaid commissions if you engage in:Fraudulent or deceptive practices (e.g., self-referrals, fake accounts).

You may not engage in cookie stuffing, link interception, or any practice that artificially sets tracking cookies. Automated traffic generation, bots, or non-human clicks are strictly prohibited. Violations will result in immediate termination and forfeiture of unpaid commissions.

Misrepresentation of your relationship with Steno.ai.

Unauthorized use of Steno.ai intellectual property.

Spamming (email, messaging, or comment spam).

Bidding on Steno.ai trademarks in paid search without permission.

Offering discounts, rebates, or incentives not pre-approved by Steno.ai.

Any activity that violates applicable law.

9. Relationship of Parties

‍You are an independent contractor, not an employee, agent, or partner of Steno.ai. You have no authority to bind Steno.ai to agreements.10. TerminationEither party may terminate this Agreement at any time, with or without cause, by written notice.

Upon termination, you must stop using our affiliate links, brand assets, and any promotional content.

Final payments will be issued per Section 6 if you meet the payout threshold; we may withhold payment for up to 30 days to account for refunds or chargebacks.

11. Limitation of Liability

‍We are not liable for indirect, incidental, or consequential damages arising from this Program.

Our maximum liability under this Agreement will not exceed the commissions paid to you in the 3 months preceding the claim.

‍12. Governing Law and Venue

‍This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any disputes arising under this Agreement shall be resolved exclusively in the state and federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

‍13. Dispute Resolution

‍Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, unless otherwise agreed by the parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

‍14. Entire Agreement

‍This Agreement represents the complete agreement between you and Steno.ai regarding the Program, superseding prior agreements.

‍15. General Provisions

‍15.1 Assignment. You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Steno.ai. Any attempted assignment without such consent shall be void.

15.2 Survival. Sections relating to commissions, prohibited conduct, limitation of liability, governing law, dispute resolution, and these General Provisions shall survive termination or expiration of this Agreement.

15.3 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Waiver. The failure of either party to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision.

15.5 Entire Agreement. This Agreement constitutes the entire understanding between the parties with respect to the Program and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter.
